Welcome to Zendrite. These Terms of Service ("Terms") govern your use of the Zendrite platform and services operated by Tigzen Limited, a company registered in New Zealand ("we", "us", "our").

By accessing or using Zendrite, you agree to be bound by these Terms. If you don't agree, please don't use our service.

1. Description of Service

Zendrite is an automation platform that allows you to create, manage, and run automated workflows connecting various third-party services. We provide:

A platform for building and executing automations
Integration with third-party services via APIs
Tools for managing and monitoring your automations
Migration assistance from other automation platforms (subject to availability)

2. Account Registration

To use Zendrite, you must create an account. You agree to:

Provide accurate and complete information
Keep your login credentials secure
Notify us immediately of any unauthorized access to your account
Be responsible for all activity under your account

You must be at least 16 years old to use Zendrite. If you're using Zendrite on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Subscription and Payment

Pricing

Our current pricing is $39 USD per month for 10,000 operations, with additional operations charged at $0.01 USD each. Prices are subject to change with notice.

Billing

Subscriptions are billed monthly in advance via Stripe
All prices are in US Dollars (USD)
You authorize us to charge your payment method on file
Failed payments may result in service suspension

Refunds

We offer a 30-day money-back guarantee for new subscribers. If you're not satisfied within your first 30 days, contact us for a full refund. After 30 days, refunds are at our discretion.

Cancellation

You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You retain access until then.

4. Acceptable Use

You agree not to use Zendrite to:

Violate any laws or regulations
Infringe on intellectual property rights
Send spam or unsolicited communications
Distribute malware or harmful code
Attempt to gain unauthorized access to our systems or other users' accounts
Interfere with or disrupt the service
Scrape or harvest data without authorization
Use the service for any illegal, fraudulent, or abusive purpose

We reserve the right to suspend or terminate accounts that violate these terms.

5. Your Data and Automations

Ownership

You own your data and automations. Your automation configurations, the data processed by your automations, and any content you create remain yours.

License to Us

You grant us a limited license to store, process, and display your automations solely to provide the service to you. We will not use your automations or data for any other purpose without your consent.

Portability

Your automations are defined in portable YAML format. You can export them at any time. If you cancel your subscription, you retain ownership of your automation definitions.

Backups

While we maintain backups for disaster recovery, you are responsible for maintaining your own backups of critical automation configurations.

6. Third-Party Services

Zendrite integrates with third-party services (Google Sheets, Slack, Stripe, etc.). Your use of these services through Zendrite is subject to their respective terms and privacy policies.

We are not responsible for:

The availability or functionality of third-party services
Changes to third-party APIs that affect your automations
Your compliance with third-party terms of service

7. Intellectual Property

Zendrite and its original content, features, and functionality are owned by Tigzen Limited and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or reverse engineer any part of our service without our written permission.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

Perform maintenance that temporarily affects availability
Experience downtime due to factors beyond our control
Modify, suspend, or discontinue features with reasonable notice

We do not currently offer a formal Service Level Agreement (SLA). As we grow, we may introduce SLA commitments for certain plans.

9. Limitation of Liability

To the maximum extent permitted by law:

We provide Zendrite "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We are not liable for:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, data, business, or goodwill
Damages arising from automation failures or errors
Any amount exceeding the fees you paid us in the 12 months preceding the claim

Some jurisdictions don't allow certain warranty exclusions or liability limitations, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Tigzen Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of Zendrite
Your violation of these Terms
Your violation of any third-party rights
Data processed by your automations

11. Termination

By you: You can cancel your subscription and close your account at any time.

By us: We may suspend or terminate your account if you:

Violate these Terms
Fail to pay fees when due
Engage in activity that harms other users or our service

Upon termination, your right to use the service ends immediately. We may retain certain data as required by law or for legitimate business purposes.

12. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the changes take effect.

Your continued use of Zendrite after changes take effect constitutes acceptance of the new Terms. If you don't agree with changes, you should cancel your subscription before they take effect.

13. Governing Law and Disputes

These Terms are governed by the laws of New Zealand, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of Zendrite will be resolved in the courts of New Zealand. You consent to the exclusive jurisdiction of these courts.

Before initiating legal action, you agree to attempt to resolve disputes informally by contacting us.

14. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Tigzen Limited regarding Zendrite.
Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
Waiver: Our failure to enforce any provision doesn't constitute a waiver of that provision.
Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
